What we need:

 

Based in Singapore, this role reports to the Head of Legal and Compliance and supports mergers and acquisitions and financing transactions across Digital Edge’s platform in Asia Pacific. The Senior Legal Counsel will work closely with the CEO, CFO, and senior leadership team, providing commercially focused legal advice to support growth, capital deployment, and strategic expansion in a fast‑paced, PE‑backed environment.

 

Responsibilities

 

  • Lead legal execution of M&A transactions, including acquisitions, divestitures, minority investments, and joint ventures across APAC.
  • Structure, negotiate and draft transaction documentation such as SPAs, shareholders’ agreements, joint venture agreements, and ancillary documents.
  • Lead legal workstreams for debt financings, including bilateral and syndicated facilities, acquisition financing, bridge financing, and project-related financings.
  • Support capital raising initiatives and advise on equity financing and sponsor-related transactions.
  • Partner with finance and treasury teams on new financings, refinancings, amendments and ongoing lender matters.
  • Advise on legal, regulatory and compliance issues arising from cross‑border M&A and financing transactions.
  • Identify key legal and execution risks and provide pragmatic, solution-oriented advice aligned with commercial objectives.
  • Manage and coordinate external counsel across multiple jurisdictions.
  • Support board and shareholder approval processes and related governance matters.
  • Assist with post-transaction integration and ongoing legal obligations arising from completed deals.
  • Actively champion and implement policies and procedures for occupational health & safety in the workplace, information security management, environmental management systems; incident management; and comply with all legal regulatory requirements of the organization.

 

Requirements

 

  • Minimum 8 years of post‑qualification legal experience with strong focus on M&A and financing transactions.
  • Experience gained in a combination of top‑tier law firm and in‑house roles.
  • Demonstrated track record leading high‑value, cross‑border transactions.
  • Deep experience in debt financing, leveraged finance and/or project finance structures.
  • Strong drafting, negotiation, and deal management capabilities.
  • Comfortable advising and interfacing with C‑suite and senior stakeholders.
  • Qualified lawyer in a common law jurisdiction.
  • Experience in infrastructure, digital infrastructure, telecoms, or PE‑backed environments is highly preferred.
